Steps to Incorporate a Company

Incorporating a company offers several benefits, including protection of personal assets, easier access to funding, perpetual existence, and structured operations. Depending on business needs, different types of companies can be registered, such as a Private Limited Company, Public Limited Company, One Person Company (OPC), or Limited Liability Partnership (LLP).

Forms Required for Incorporating a Company in India

When incorporating a company, several forms must be filed with the Ministry of Corporate Affairs (MCA). Below is a list of the essential forms along with their purposes:

  §  SPICe+ (INC-32) – Main incorporation form

  §  e-MoA (INC-33) – Electronic Memorandum of Association

  §  e-AoA (INC-34) – Electronic Articles of Association

  §  AGILE-PRO (INC-35) – GST, EPFO, ESIC, Professional Tax, and Bank Account registration.

  §  INC-9 – Declaration by directors and subscribers

  §  DIR-12 (if applicable) – Appointment of directors


To incorporate a company in India, you must file SPICe+ (Simplified Proforma for Incorporation of Company Electronically) on the MCA portal.

SPICe+ consists of two parts:

Part A – Name Approval
Part B – Incorporation of Company

Note:

The reservation of a company name through SPICE+ Part A is optional. Applicants may either secure name approval separately before proceeding with incorporation or directly file SPICE+ Part B, where name approval and incorporation are processed together.


Step-by-Step Process for Company Incorporation

Step 1: Name Reservation (SPICe+ Part A)

  Ø  Login to MCA Website:

  • Go to https://www.mca.gov.in/content/mca/global/en/foportal/fologin.html.                                                                                                            
  • Login using Business User credentials (or create an account if new).
  • Go to "MCA Services" > "Company e-Filing" > "Incorporation & Changes" > "SPICe+".                                                                                                                                                                                                   

  Ø  Enter Required Details:

  • Class of Company (Private, Public, OPC).
  • Category (Limited by Shares, Limited by Guarantee, Unlimited).
  • Sub-category (Union Government, State Government, Non-Government, Subsidiary of a Foreign Company).
  • Main Industrial Activity (Enter relevant NIC Code).
  • Description of Business Activity.
  • Proposed Company Name (Can submit up to two options). 

  Ø  Check Name Availability:

  • Ensure the name does not contain prohibited words (as per Section 4(2) & (3) of the Companies Act, 2013).
  • Conduct a Trademark Search to avoid rejection. 

  Ø  Attach Supporting Documents (If required)

  • If the name requires Sectoral Regulator Approval or NOC, attach the supporting document.
  • Upload documents in PDF format.

Step 2: Fill SPICe+ (Part B) for Incorporation

A. Prepare Required Documents

Before filling out SPICE+ Part B, gather the following documents:

  1. Digital Signatures (DSC) – Required for all subscribers and directors.
  2. Registered Office Proof – Rent Agreement/Lease Deed/Ownership Proof.
  3. Utility Bill (Electricity, Water, Gas, or Telephone Bill) – Not older than two months.
  4. NOC from Property Owner – If the registered office is on rented premises.
  5. Identity & Address Proof of Directors/Subscribers:
    • PAN Card (Mandatory)
    • Aadhar Card/Voter ID/Passport/Driving License (Any one)
    • Latest Bank Statement/Utility Bill (Any one, not older than two months)
  6. Photographs of two authorized persons for EPFO, ESIC, and Bank Account.

B. Fill SPICE+ Part B Form

  1. Fill in the company’s details and registered office address (Latitude & Longitude required).
  2. Provide PAN & TAN details (Mandatory).
  3. Fill details of Directors & Subscribers.
  4. Generate Linked Forms after saving the information.

C. Prepare MOA & AOA (INC-33 & INC-34)

  • Memorandum of Association (MOA - INC-33) and Articles of Association (AOA - INC-34) need to be filled and signed digitally.
  • Information common in SPICE+ Part B will be auto-filled.

D. Fill AGILE-PRO (INC-35) for GST, EPFO, ESIC & Bank Account

  • GST Registration – Select "Yes" if applicable.
  • EPFO & ESIC Registration – Mandatory.
  • Bank Account Opening – Required; the system will auto-assign a branch near the registered office. 

Important Points:

  • Provide details of two authorized persons (directors or outsiders) for ESIC, EPFO, and bank account.
  • Attach photographs, mobile number, and email ID of authorized persons.
  • OTP verification required.
  • Mention jurisdiction of the police station and EPFO/ESIC office details.
  • The same person signing SPICE+ Part B must sign AGILE-PRO.

E. Fill INC-9 (Declaration Form)

  • INC-9 is auto-generated and must be digitally signed by directors and subscribers.
  • It is not web-generated if:
    • Any director/subscriber does not have both DIN & PAN.
    • The total number of directors + subscribers is more than 20.

F. Download & Sign PDF Forms

  • After completing all web-based forms (SPICE+ Part B, MOA, AOA, AGILE-PRO, INC-9), download them.
  • Obtain Digital Signatures (DSC) from directors, subscribers, and professionals (CA/CS/CMA).

G. Upload Forms on MCA & Make Payment

  • Upload the digitally signed forms as linked forms on the MCA portal.
  • Make the required payments.

H. Certificate of Incorporation

  • Once approved, the Registrar of Companies (ROC) issues the Certificate of Incorporation (INC-11).
  • The Permanent Account Number (PAN) of the company is mentioned on the certificate.
